Nominating and Governance Committee Charter

This document contains four samples that provide guidelines for creating a nominating and corporate governance charter.

The nominating and governance committee of the board of directors are tasked with identifying individuals qualified to become board members consistent with criteria approved by the board, overseeing the organization of the board to discharge the board’s duties and responsibilities properly and effectively, ensuring that proper attention is given and effective responses are made to shareowner concerns regarding corporate governance, and performing other duties and responsibilities consistent with this charter.
